These Terms and Conditions ("Terms") are a legally binding agreement between you and Cartright ("we," "us," or "our") governing your access to and use of the Cartright website at meetcartright.com and the Cartright personal shopping service (together, the "Service"). By joining the waitlist or using the Service, you agree to these Terms. If you do not agree with these Terms, you must not use the Service.
We may update these Terms from time to time in our sole discretion. When we do, we will revise the "Last updated" date above; your continued use of the Service after a revised version is posted means you accept the changes.

1. What Cartright is
Cartright is a personal shopping assistant that reaches you in a messaging app. With your authorization, it learns what you habitually buy, predicts when you may need an item again, watches for genuine price drops inside that window, and builds a cart for your review.
Cartright never completes a purchase for you. It builds a cart and hands you a link to complete the purchase yourself at the retailer. Cartright does not take payment, does not place orders, and does not have the ability to charge you. Every purchase is completed by you, directly with the retailer, under the retailer's own terms.
The Service is intended for use within the United States. If you access it from elsewhere, you are responsible for complying with local laws that may apply to you.
2. Eligibility and user representations
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent and warrant that:
- you have the legal capacity to agree to these Terms;
- you are not a minor in the jurisdiction where you reside;
- you will not access the Service through automated or non-human means, such as a bot or script, other than the ordinary messaging interface Cartright itself provides;
- you will not use the Service for any illegal or unauthorized purpose; and
- your use of the Service will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate, or incomplete, we may suspend or terminate your access to the Service.
3. Retailer accounts and authorization
To use the live Service, you may connect a retailer account (for example Walmart) so Cartright can read your order history and build carts. By connecting an account, you represent that it is yours, or that you are authorized to use it, and you authorize Cartright to access it for these purposes. You remain responsible for complying with that retailer's own terms of service. You can disconnect a retailer account at any time.
4. No affiliation with retailers; trademarks
Cartright is an independent service. It is not affiliated with, endorsed by, sponsored by, or otherwise associated with Walmart, Amazon, Target, Costco, Kroger, Sam's Club, eBay, or any other retailer, brand, or messaging platform named on the site. All product names, logos, brands, and trademarks are the property of their respective owners and are used for identification and descriptive purposes only. Their use does not imply any affiliation or endorsement.
5. Our intellectual property; your license to use the Service
We are the owner of all intellectual property rights in the Service, including its source code, software, website design, and all text, graphics, and branding it contains (the "Content"), as well as the Cartright name, logo, and marks (the "Marks"). The Content and Marks are protected by copyright and trademark law and are provided "as is" for your personal, non-commercial use.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal shopping. Except as permitted by this license, no part of the Service, Content, or Marks may be copied, reproduced, republished, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission. We reserve all rights not expressly granted to you.
Feedback. If you send us a question, suggestion, or other feedback about the Service, you agree that we may use it for any purpose, including to improve the Service, without any obligation or compensation to you.
6. Prices, deals, availability, and corrections
Prices, discounts, product details, and availability shown by Cartright come from third-party retailer data and can change at any time. We do not guarantee that any price or "deal" will still be available when you reach the retailer to check out. The retailer, not Cartright, is solely responsible for pricing accuracy, order fulfillment, delivery, returns, refunds, and the products themselves. Any transaction you complete is between you and the retailer.
The Service may contain typographical errors, inaccuracies, or omissions, including in pricing or availability. We reserve the right to correct these and to update information on the Service at any time, without prior notice.
7. Messaging
By opting in, you consent to receive messages from Cartright in the channel you choose (for example Telegram, Discord, or SMS text message). Message frequency varies. If you receive SMS text messages, message and data rates may apply, reply STOP to opt out at any time, and reply HELP for help. We do not share your mobile number or opt-in consent with third parties for marketing purposes. See our Privacy Policy for details.
8. Acceptable use
The Service may only be used for your own personal, non-commercial shopping. You agree not to:
- resell, redistribute, or use the Service as part of any revenue-generating or commercial enterprise, including as a buying or purchasing agent on behalf of others;
- attempt to access accounts, data, or retailer connections that are not yours;
- circumvent, disable, or otherwise interfere with any security feature of the Service;
- upload or transmit viruses, malicious code, or anything that disrupts the Service or its infrastructure;
- use bots, scrapers, or other automated tools against the Service, other than by messaging Cartright normally;
- impersonate another person or misrepresent your affiliation with any person or entity;
- attempt to trick, defraud, or mislead us, including to obtain account or authentication information; or
- reverse engineer, decompile, or disassemble the Service, except as permitted by applicable law, or use the Service in violation of any applicable law or any retailer's or platform's terms.
9. Service management
We reserve the right, but not the obligation, to monitor the Service for violations of these Terms, to take appropriate action against anyone who violates the law or these Terms (including reporting to law enforcement where warranted), and to restrict, limit, or disable access to all or part of the Service, at our discretion and without notice, in order to protect the Service and its proper operation.
10. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or always available, and we do not guarantee any particular savings, results, or uptime.
We make no warranty regarding the accuracy or completeness of any third-party content the Service displays, including retailer pricing, product, or availability data, and we are not responsible for unauthorized access to our servers, interruptions in the Service, or any product or service offered by a retailer or other third party through a link from the Service. As with any purchase, use your own judgment and exercise appropriate caution before completing a transaction with a retailer. You use the Service at your own risk.
11. Limitation of liability
To the fullest extent permitted by law, Cartright and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the amount, if any, that you paid us for the Service. Because Cartright never completes purchases, we are not responsible for any charge, order, product, or transaction between you and a retailer.
Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties; if these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
12. Indemnification
You agree to indemnify and hold harmless Cartright and its owners from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: your use of the Service; your breach of these Terms or of any representation or warranty in them; your violation of any retailer's or platform's terms or applicable law; or your violation of the rights of any third party.
13. Third-party services
The Service relies on and links to third parties, including retailers, messaging platforms, and infrastructure providers. We are not responsible for third-party services, their content, or their terms and privacy practices. Your use of them is governed by their own agreements.
14. User data
We maintain certain data you provide to, or that is generated through, your use of the Service in order to operate it, for example your tracked items, preferences, and conversation history. While we take reasonable steps to protect this data (see our Privacy Policy), you are responsible for what you send us, and we are not liable for any loss or corruption of data beyond what our Privacy Policy describes.
15. Electronic communications and signatures
Using the Service, including by text message, constitutes an electronic communication. You consent to receive communications from us electronically, and you agree that any agreement, notice, or disclosure we provide electronically satisfies any legal requirement that it be in writing.
16. Term, termination, and interruptions
These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause or notice, including if we believe you have violated these Terms. If we terminate your access for cause, you may not create a new connection to the Service to circumvent that termination.
We may change, suspend, or discontinue any part of the Service at any time, for any reason, without notice or liability to you. We do not guarantee the Service will always be available; we may need to perform maintenance or experience issues that cause interruptions or delays, and we have no obligation to maintain, support, or update the Service.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide additional notice where required. Your continued use of the Service after changes take effect means you accept the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which Cartright operates, without regard to conflict-of-laws rules. You agree that the courts located in that state will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.
19. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. Our failure to enforce any right or provision of these Terms is not a waiver of it. If any provision of these Terms is found unenforceable, the rest remain in full effect. We may assign our rights and obligations under these Terms at any time; you may not, without our consent. We are not responsible for any delay or failure caused by matters beyond our reasonable control. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and us.
